By using the services of Blue Ocean Cleaning Services, you agree to our terms and conditions, which outline your responsibilities, our obligations, and the procedures for booking, payment, and cancellation. Our services are provided with a commitment to quality, and any issues will be addressed as per our service guarantee. You are responsible for providing access to your premises and ensuring that any necessary equipment is available. Please review our terms regularly, as they may be updated.

1. Definitions

"Provider" refers to Blue Ocean Cleaning Services.

"Customer" refers to the individual or entity engaging the Provider's services.

"Services" refers to the cleaning services provided by the Provider, including residential, office, window cleaning, and exterior home cleaning.
2. Term

Commencement and End of Term: The term of each contract commences upon the Customer’s acceptance of the Provider's services and continues until the services are completed and payment is made. Each contract is distinct and continues indefinitely until either party terminates it according to these terms.
3. Services
-
Obligation to Provide Services: The Provider is obligated to deliver the Services as agreed.

Standard of Services: Services are provided to the standard expected in the industry, either Business-to-Consumer (B2C) or mixed.

Failure to Meet Standards: The Provider will address any failure to meet the agreed standards by rectifying the issue at no additional cost to the Customer.

Devotion of Personnel: The Provider will devote adequate personnel to deliver the Services.

Compliance with Requests: The Provider will comply with reasonable Customer requests related to the Services.
4. Services Appointments

Appointments: The Provider will schedule and attend appointments as agreed.

Late Appointments: If the Provider is late, the Customer will be notified and rescheduling will be arranged.

Rescheduling: Appointments can be rescheduled with prior notice.

Cancellation: Cancellation of appointments requires notice as specified. Cancellations within 48 hours will incur a 35% deposit requirement for future bookings.

Personnel Shortage: In cases of personnel shortage, appointments may be canceled or rescheduled, with notice provided.
5. Provider Personnel

Assurances: The Provider ensures that all personnel are qualified and reliable to perform the Services.
6. Customer Premises

Obligations: The Customer must ensure that the premises are prepared for the Services.

Compliance: The Customer must comply with all applicable policies at the premises.

Access: The Customer must secure means of access to the premises for the Provider.
7. Customer Obligations

General Obligations: The Customer is responsible for providing clear access to the work area and utilities.

Provision of Access: The Customer must ensure access to utilities as required for the Services.
8. Provider Equipment and Provider Consumables
-
Storage: The Provider will store its own equipment and consumables.

Usage: The Customer must not use Provider equipment or consumables without consent.

Loss: The Customer is responsible for the loss or damage to Provider equipment and consumables.

Post-Termination: Equipment and consumables must be returned to the Provider upon termination.
9. Customer Equipment and Customer Consumables

Provision: The Customer must provide any necessary equipment and consumables not supplied by the Provider.

Use: The Provider will use Customer equipment and consumables as needed.

Assurances: The Customer must ensure their equipment and consumables are suitable and in good condition.
10. Representatives

Instructions: Any instructions from Customer representatives must be provided in writing and are binding.
11. Charges

Obligation to Pay: The Customer is obligated to pay for the Services as agreed.

Time-Based Charges: Charges may be based on time or fixed rates as specified.

VAT: Amounts may be inclusive or exclusive of VAT, as applicable.

Variation: Charges may vary based on changes in the scope of Services.
12. Timesheets

Obligation: The Provider will keep accurate timesheets for Services rendered.

Supply: The Provider will supply timesheets to the Customer upon request.
13. Payments
-
Invoices: Invoices will be issued upon completion of the Services.

Payment Timing: Payment is due upon receipt of the invoice. Late payments will incur a fee of $40 per month after 30 days and may result in collections after 90 days.

Payment Methods: Payments can be made via methods specified in the invoice.
14. Provider's Confidentiality Obligations

Confidentiality: The Provider will maintain confidentiality of Customer information and will not disclose it to third parties except as required by law or with Customer consent.

Exceptions: Disclosure of confidential information is permitted only under specific circumstances or legal obligations.

Post-Termination: Confidentiality obligations continue after termination of the contract.
15. Distance and Off-Premises Contracts

Cancellation Right: Customers have the right to cancel distance and off-premises contracts within the statutory period.

Refunds: Refunds for cancellations will be processed as per the statutory requirements, with timing and method as specified.
16. Warranties

Authority: Both parties warrant their authority to enter into the contract.

Exclusions: Implied warranties and representations are excluded unless specifically stated.
17. Customer Indemnity

Indemnity: The Customer indemnifies the Provider against any claims arising from breaches of these terms.
18. Limitations and Exclusions of Liability

Liability Limits: The Provider’s liability is limited to direct damages, with no liability for indirect, consequential, or loss of profits.

Force Majeure: The Provider is not liable for failures caused by force majeure events.

Per Event and Aggregate Caps: Liability caps apply per event and in aggregate as specified.
19. Force Majeure Event

Suspension: Obligations are suspended during a force majeure event.

Notification: The Provider will notify the Customer of force majeure events and mitigate effects.
20. Termination

Without Cause: Either party may terminate the contract without cause with notice.

Termination for Breach: Termination may occur for breach of terms.

Insolvency: The contract may be terminated if either party becomes insolvent.

Non-Payment: Non-payment may lead to termination as specified.
21. Effects of Termination

Surviving Provisions: Provisions that survive termination include confidentiality and indemnity.

Accrued Rights: Termination does not affect accrued rights or obligations.
22. Status of Provider

Independent Contractor: The Provider is an independent contractor and not an employee of the Customer.
23. Notices

Writing: All contractual notices must be in writing.

Methods: Notices can be delivered via email, post, or other agreed methods, with deemed receipt as specified.
24. Subcontracting

Consent: Subcontracting is permitted with prior consent from the Customer.

Responsibility: The Provider is responsible for subcontracted obligations.
25. General

No Waiver: Failure to enforce any term does not waive the right to enforce it later.

Severability: If any provision is invalid, the remaining provisions remain in effect.

Variation: Changes to these terms must be in writing and signed by both parties.

Assignment: Rights and obligations may be assigned as specified.

No Third-Party Rights: No third parties have rights under this contract.

Entire Agreement: This document constitutes the entire agreement between the parties.

Governing Law and Jurisdiction: The contract is governed by the laws of southwestern Ontario, and disputes are subject to its exclusive jurisdiction.
26. Interpretation

Statutory References: References to statutes are to the relevant legislation as amended.

Headings: Section headings do not affect the interpretation of the terms.

Calendar Month: “Month” refers to a calendar month.

No Ejusdem Generis: The inclusion of specific terms does not limit the general applicability of the provisions.
